Griffin Serves as Exclusive Investment Banker to Pro Max Fence Systems

Company Overview

Pro Max Fence Systems, LLC (“Pro Max” or the “Company”) is a specialty contractor providing installation, maintenance and repair services of commercial fencing and access control systems. It serves a diverse mix of commercial, municipal, institutional and residential clients with end markets including schools, utilities, hospitals, distribution centers, self-storage centers, industrial facilities, airports, military, retailers and public works.

Situation

With backing from Generational Transfer Entrepreneurs, Pro Max’s shareholder group and management team acquired the Company in 2018. The Company’s team invested heavily in organic and inorganic growth over the following five years, generating a double digit CAGR and building the business into a regional leader during that period. After having completed several acquisitions in partnership with its existing capital sources, the management team and shareholders determined that access to additional outside capital and expertise would be valuable to further accelerate the Company’s growth trajectory. In addition to assisting with the Company’s strategic initiatives, the Company also sought a partner who could provide liquidity to Generational Transfer Entrepreneurs and other shareholders while allowing key team members to benefit from future growth and success by retaining a significant ownership position.

Solution

Pro Max engaged Griffin Financial Group as its exclusive investment banker to assist in the transaction. Griffin launched a competitive process involving private equity investors who would best meet the shareholders’ goals and were appropriate fits with Pro Max’s size and industry. This process resulted in considerable interest from numerous potential partners, and ultimately led to the Company being recapitalized by Saw Mill Capital. Saw Mill is a New York-based private equity firm with nearly $1 billion in assets under management. It partners with founders and management teams of successful entrepreneurial businesses in business services, specialty distribution and manufactured products.
