David W. Swartz and Alan Grover Speak at Pennsylvania Association of Community Bankers Annual Convention

READING, PA, October 13, 2017 – Stevens & Lee/Griffin professionals David W. Swartz and Alan Grover presented at the Pennsylvania Association of Community Bankers Annual Convention held in Coeur d’Alene, ID, on September 23, 2017.

In a joint presentation to directors of community banks, Messrs. Swartz and Grover spoke on the duties of bank directors and the challenges they face, Board responsibilities and best practices for the near future. They also presented the Federal Reserve proposed guidance on supervisory expectations for boards of directors and U.S. Treasury regulatory reform.

Mr. Grover also served on the convention’s investment banking panel.

Mr. Swartz is Co-Chair of Stevens & Lee’s Corporate, Finance and Capital Markets Department. For more than 30 years, he has focused his practice on the representation of public company clients in corporate matters, capital formation, securities law compliance, mergers and acquisitions, regulatory issues, change-in-control and shareholder activism issues and corporate governance matters.

He has represented private and publicly traded financial institutions in more than 50 acquisitions involving banks, insurance and securities brokerage operations and registered investment advisors. He has served as counsel to the issuers in public and private capital markets transactions totaling more than $5 billion.

Mr. Swartz holds a J.D., cum laude, from Dickinson School of Law of The Pennsylvania State University and a B.A., cum laude, from Lebanon Valley College.

A Senior Vice President with Griffin Financial Group, Mr. Grover has a wide range of investment banking and financial accounting experience in the financial services sector, and principally assists banks and thrifts with mergers and acquisitions, capital raising and other strategic planning efforts.

He brings over 25 years of business, financial and capital markets expertise in helping management teams and boards understand and evaluate strategic transactions. Mr. Grover has a hands-on approach and has deep financial modelling experience and in-depth knowledge of transaction-related tax and accounting rules. He also has significant experience with financial reporting requirements, the securities act and banking regulations.

A former Senior Manager for Ernst & Young, Mr. Grover was responsible for leading audit engagement teams and maintaining client relationships with financial institutions, specialty lenders and investment managers throughout the Mid-Atlantic area.

He is a Certified Public Accountant and holds Series 79 and 63 licenses.
